Responsibilities

  • Provide comment and recommendation on company activities and operation from legal perspective
  • Represent the company on contract negotiation and any legal matters
  • Draft, review and comment commercial and legal documents
  • Review marketing literatures or promotional materials to be issued by the Company from legal perspective
  • Review and prepare company policy or procedures for purpose of legal / regulatory compliance
  • Support and train colleagues on contracts involving IT, online marketing, digital media, social media, big data
  • Handle full range of company secretarial and compliance duties, and corporate governance matters
  • Organize, arrange and maintain company secretarial records, registers and statutory filings systematically
  • Arrange and prepare meeting papers and minutes for board and general meetings e.g., AGM, committee meetings and shareholder meetings
  • Maintain current awareness of all legislative, regulatory and governance developments
  • Represent the company in legal disputes as instructed
  • Represent the company to government authorities as instructed
  • Perform ad hoc projects and corporate exercises

Requirements

  • Qualified Hong Kong lawyer; Practical and commercially astute
  • At least 4 to 5 years of practical experience in working in law firm or insurance industry
  • Working knowledge of corporate legislation, Hong Kong and offshore jurisdictions, as well as applicable regulatory requirements
  • Experience in a technology rich/digital environment (including adtech, digital transformation, IT, social media, big data) will be an advantage
  • Responsible, detail-oriented, self-motivated, able to multi-task and work well under pressure
  • Good team player, able to work well and collaborate with other teams/ functions
  • Proficient in MS Office including Word, Excel, and PowerPoint
  • Good command of written/spoken English and Chinese
